GO NINJA PARTICIPANT AGREEMENT & LIABILITY WAIVER

GoNinja Participant Safety Waiver & Release Agreement

Business Name: LVLUP Martial Arts 3 LLC dba GoNinja
Locations: Verona, WI

This agreement applies to all programs, events, classes, camps, parties, open gyms, and activities conducted by GoNinja.

1. ASSUMPTION OF RISK

I understand that participation in GoNinja activities involves physical movement, climbing, balancing, obstacle navigation, jumping, martial arts-style movement, strength training, agility drills, games, and other active play.

I acknowledge that these activities carry inherent and unavoidable risks, including but not limited to:

• Falls (even with mats or padded flooring)
• Collisions with structures, equipment, or other participants
• Incorrect landings
• Slips, trips, and missteps
• Over-exertion or attempting movements beyond one’s ability
• Behavioral unpredictability of children
• Equipment malfunction or unexpected movement
• Staff judgment errors (including spotting, hazard recognition, and ability assessments)

I knowingly and voluntarily assume all inherent and foreseeable risks for myself, my child, and any minors for whom I am responsible while participating in GoNinja activities or while present at the facility.

Participation is voluntary, and I choose to participate despite the risks.

2. TYPES OF POSSIBLE INJURIES

I understand that potential injuries may include, but are not limited to:

Minor Injuries:
Sprains, strains, scrapes, bumps, bruises, rope burns, and blisters.

Serious Injuries:
Broken bones, joint injuries, concussions, dislocations, and severe sprains.

Catastrophic Injuries:
Paralysis, traumatic brain injury, heart-related events, and in rare cases, death.

I understand that these injuries may result from my own actions, the actions of others, the condition of the facility, or the negligence of the Protected Parties.

3. WAIVER OF LIABILITY

In consideration for being allowed to participate in any GoNinja program or to use its facilities, I, on behalf of myself, my child, and all associated releasing parties, hereby:

Release, waive, and discharge LVLUP Martial Arts 3 LLC dba GoNinja , including its owners, employees, volunteers, contractors, agents, and facility operators (collectively referred to as “Protected Parties”), from:

• Any and all claims, demands, causes of action, or liability for personal injury, property damage, or wrongful death arising out of or related to participation in GoNinja activities or presence at the facility.

This release includes claims arising from the ordinary negligence of the Protected Parties to the fullest extent permitted by Wisconsin law.

4. INDEMNIFICATION

I agree to hold harmless, defend, and indemnify the Protected Parties from any claims, demands, lawsuits, damages, losses, costs, or attorney fees arising out of participation in GoNinja activities by:

• My child
• Any participants I bring or supervise
• Other parents or guardians associated with me
• Any third parties

5. RULES & PARTICIPANT RESPONSIBILITIES

Participants and supervising adults agree to:

• Follow all staff instructions and posted rules
• Report unsafe behavior or hazards immediately
• Remain within designated activity areas
• Refrain from attempting skills beyond comfort or ability level
• Wear appropriate athletic clothing and remove jewelry
• Understand that roughhousing, unsafe conduct, or failure to follow rules may result in removal from activities without refund

6. HEALTH CERTIFICATION & EMERGENCY CARE

I certify that:

• I and/or my child are physically able to participate safely.
• There are no medical conditions that would make participation unsafe, or I have disclosed such conditions to GoNinja in writing.

I authorize GoNinja staff to:

• Provide basic first aid
• Administer CPR and/or use an AED if necessary
• Contact and obtain emergency medical services (EMS)

I accept full responsibility for all medical expenses and emergency care costs incurred.

7. PHOTO & VIDEO RELEASE

I grant GoNinja and LVLUP Martial Arts 3 LLC permission to photograph and record video during participation and to use such media for marketing, advertising, social media, and promotional purposes in print or digital formats without compensation.

8. BINDING ARBITRATION & LEGAL TERMS

• Any dispute arising from participation shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
• Venue shall be Dane County, Wisconsin.
• This agreement shall be governed by the laws of the State of Wisconsin.
• Any legal challenge to the validity of this agreement must be filed exclusively in Dane County Circuit Court.
• If any provision of this agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

9. BIRTHDAY PARTY PACKAGE DETAILS

• Your party includes VIP treatment, a dedicated, trained party host, and exclusive use of the entire Go Ninja facility, including all obstacles and the party room.
• Total event duration is 1 hour and 45 minutes of activity time, plus 15 minutes of early access for setup.
• Please do not arrive earlier than 15 minutes prior to your scheduled party, as our staff will be cleaning and preparing the space to provide the best experience.

Guest Count

• Base package includes up to 20 child participants on the course.
• Adults may attend and supervise but do not count toward the child participant total.
• Additional children may be added for $5 per child, with a maximum of 25 total child participants.

10. CANCELLATION & RESCHEDULE POLICY

BIRTHDAY PARTIES

• 21 Days or More Notice: Parties may be cancelled or rescheduled with no fee.
• Less Than 21 Days Notice: A $100 fee applies to any cancellation or reschedule made within 21 days of the originally scheduled event date.

All fees must be paid before a new reservation can be confirmed.

SUMMER CAMP

• 30-Day Notice (Free): Camp bookings may be moved to another week of equal or lesser value for free with at least 30 days’ notice before the scheduled camp start date.
• Upgrading to a Higher-Priced Week: Participant pays only the price difference.
• Within 30 Days of Camp Start: Reschedules made fewer than 30 days prior will incur a $25 fee per week.

• No Refunds: All camp purchases are final. If you cannot attend your reserved week, please refer to our rescheduling policy above.

NO SCHOOL DAY CAMP

• No refunds: camps can be switched to a different day with a 7 day notice. 

PARENT’S NIGHT OUTS AND OPEN PLAY

• Cancel within 7 days: No refund 
• Cancel with a 8+ day notice: switch to a new date free of charge (subject to availability) or receive a refund. 

11. ACKNOWLEDGMENT OF UNDERSTANDING

By signing below (physically or electronically), I acknowledge and agree that:

• I have carefully read and fully understand this agreement.
• I understand that I am waiving significant legal rights.
• I accept all terms voluntarily and without coercion.
• If signing on behalf of a minor, I confirm that I am the legal parent or guardian and have explained the rules and risks to the minor.

Assumption of Risk, Waiver of Liability, and Indemnification Agreement:

Activity Overview: Go Ninja, a subsidiary of Moh’s Martial Arts LLC, offers activities designed to bolster strength, endurance, and confidence, all carrying inherent risks.

Types of Injuries:

• Minor: Such as muscle strains, sprains, bruises.
• Serious: Including severe sprains, broken bones, concussions (though rare).
• Catastrophic: Ranging from brain injuries to paralysis and death.

Assumption of Risks: Participants acknowledge the inherent risks and assume all potential consequences.

Waiver of Liability: Participants relinquish the right to take legal action against Go Ninja or its associated entities for any related injuries or damages.

Indemnification: Participants will defend and indemnify Go Ninja against claims stemming from their or their child's involvement.

Clarifications:

• This agreement replaces any prior verbal or written agreements.
• If parts of this agreement are deemed invalid, the remainder still holds.

Binding Arbitration: Disagreements will be settled via arbitration in Dane County, Wisconsin, following the American Arbitration Association guidelines.

Legal Jurisdiction: Disputes related to this agreement are to be presented in the Dane County Circuit Court, Wisconsin.

Safety Protocols:

• Adhere to safety guidelines and report any breaches.
• Remain in designated areas.
• If feeling unwell or discomforted, halt activities and inform staff.
• Engage only in activities within personal limits.

Health and Safety:

• It's recommended to seek medical approval before engaging in strenuous activities.
• Ensure personal skills and physical fitness align with Go Ninja's requirements.
• Refrain from participation if you have health issues.
• Go Ninja can administer emergency aid or obtain medical attention if needed, with costs borne by the participant.

Photo/Video Consent: Go Ninja may use participation visuals in marketing and promotions.

Acknowledgment: Signing this acknowledges the understanding and acceptance of its terms, surrendering certain rights as per Wisconsin regulations. Parents/guardians affirm they've briefed their minors on the risks and rules.
